MEMBERSHIP REGISTRATION AGREEMENT

 

This Membership Application and Agreement form (“Agreement”) is between the individual applicant (“Member”, “Reseller”, or “Retailer”) and Leviosa Network (“Company”, “Leviosa”, or “Network”). By submitting this form, the Member applies to become a participating member of the Leviosa Network.

 

Effective Date

This Agreement becomes effective on the date of acceptance by the Company. The Member will receive an email attesting to the acceptance and completion of their application and confirming their status as an official member of the Leviosa Network. If the Company does not receive this form, the Agreement will be cancelled.

 

Validity of Agreement

This agreement shall be considered valid until it is terminated by either party, in accordance with the provisions of this agreement.

 

Member’s Waiver

The Member certifies that they are not an existing member of the Leviosa Network prior to their subscription. If the Company finds that the Member is already a member of the network prior to their subscription, the Member empowers the Company to immediately terminate their membership account/s.

 

Independent Contractor Status

The Member is considered an independent contractor and not an agent, employee, or franchisee of the Company. The Member understands and agrees to pay all applicable income taxes, local taxes, and local license fees arising from their participation in the network.

 

Tax and Fee Responsibility

The Member shall be solely responsible for the proper reporting and payment of all taxes and/or fees incurred as a result of their business activities.

 

Participation in Sales and Distribution

As a member of the network, the Member is entitled to participate in the sales and distributions of the Company’s goods and receive bonuses and commissions in accordance with the Company’s membership perks and incentives program.

 

Non-Refundable Purchases

The Member shall be aware that any product or service purchases made through their membership with the company are non-refundable, except under circumstances specified in the company's return policy.

Offsetting Unpaid Amounts

The Company shall be entitled to deduct and offset from the Member’s Leviosa Wallet balance any amount past due and unpaid for purchases of the Company’s products and services or any other money owed to the Company by the Member.

 

No Guaranteed Success

The Member is not guaranteed any commissions or bonuses, nor are they assured of any profit or success. The Member is free to set their own hours and determine their own sales territory, strategy, and methods of selling, within the parameters of this Agreement. The Member is responsible for their own expenses related to their membership.

 

No Franchise Sales

This Agreement does not include the sales of franchises and there are no exclusive territories granted to any Member.

 

Ethical Conduct

The Member agrees to observe proper conduct and maintain high ethical standards in the conduct of their business as a member. The Company reserves the right to terminate the contract agreement and revoke the Member’s membership account if the Member is involved in any misconduct or harmful activity against the Company.

 

Training and Marketing Events

The Member agrees to participate in training programs, seminars, and other marketing events organized by the company to increase their knowledge and skills in selling the company's products and services.

 

Right to Change Marketing Plans and Policies

The Company has the right to change any marketing plans, principles, and policies if and when it is deemed necessary.

 

Monitoring of Member Activities

The company shall have the right to monitor the Member's activities and sales performance and has the right to take appropriate action if the Member's activities are deemed to be in violation of this agreement.

 

Sanctions for Violation or Breach

The Member may be subject to sanctions as specified in the Company’s policies and procedures for violation or breach of any term or provision of this Agreement. Upon the voluntary or involuntary cancellation of this Agreement, the Member will lose and expressly waive all rights, including property rights, to their previous downline organization and to any bonuses, commissions, or other compensation arising from sales generated by them or their prior downline organization.

Indemnification

The Member agrees to indemnify and hold the Company harmless from any claims, damages, and expenses, including attorney’s fees, arising from their own actions or conduct and that of their employees or agents. This Agreement is governed and constructed by the laws of the Republic of the Philippines.

 

Proprietary Information

The Member acknowledges that all marketing and promotional materials, trademarks, logos, and other proprietary information provided by the company are the sole property of the company and may only be used for the purpose of conducting business under this agreement.

 

Unauthorized Use of Proprietary Information

The Member shall be aware that any unauthorized use of the company's proprietary information may result in termination of this agreement and the company may take legal action.

 

Entire Understanding and Amendments

This agreement constitutes the entire understanding between the parties and supersedes any prior negotiations, representations, or agreements, whether written or oral. This agreement may not be amended, altered, or modified in any way, except in writing signed by both parties.

 

Agreement to be Bound by Terms

The Member acknowledges that they have read this Agreement and agree to abide by and be bound by the terms contained herein.
